Sleep Country Canada Holdings Inc. Files Final Prospectus and Announces Pricing of Initial Public Offering

Toronto, Ontario, July 10, 2015 – Sleep Country Canada Holdings Inc. (“Sleep Country” or the “Company”) announced today that it has obtained a receipt for its final prospectus filed with the securities regulatory authorities in each of the provinces and territories of Canada and has entered into an underwriting agreement for the initial public offering (the “Offering”) of common shares of the Company (the “Shares”) at a price of $17.00 per share. The Company will issue 17,650,000 Shares under the Offering for total gross proceeds of $300,050,000.

The Offering is being made through a syndicate of underwriters led by TD Securities Inc. and BMO Nesbitt Burns Inc., and includes CIBC World Markets Inc., Scotia Capital Inc., Credit Suisse Securities (Canada) Inc., GMP Securities L.P., National Bank Financial Inc. and Raymond James Ltd.

The underwriters have also been granted an over-allotment option (the “Over-Allotment Option”) to purchase up to an additional 2,647,500 Shares from the Company at a price of $17.00 per Share for additional gross proceeds of approximately $45,007,500 if the Over-Allotment Option is exercised in full. The Over-Allotment Option can be exercised for a period of 30 days from the closing date.

In connection with the Offering, the Company has also entered into a purchase agreement to acquire (the “Acquisition”) Sleep Country Canada Inc. and certain of its affiliates (collectively, the “Acquired Entities”) for an aggregate purchase price of $461,673,036 (the “Purchase Price”). The net proceeds of the Offering will be used by the Company to satisfy a portion of the Purchase Price with the balance being satisfied by the issuance of Shares and acquisition notes to certain of the shareholders of the Acquired Entities (collectively, the “Existing Shareholders”). Following completion of the Offering and the Acquisition it is expected that the Existing Shareholders will hold, directly or indirectly, a 53% interest in the Company (or 46% if the Over-Allotment Option is exercised in full) with the remaining 47% (or 54% if the Over-Allotment Option is exercised in full) held by subscribers under the Offering.

The closing of the Offering and the Acquisition is expected to occur on July 16, 2015, subject to customary closing conditions, at which time the Shares will commence trading on the Toronto Stock Exchange (the “TSX”) under the symbol “ZZZ”. The TSX has conditionally approved the listing of the Shares, subject to fulfilling the customary TSX requirements. A copy of the final prospectus is available on SEDAR at www.sedar.com.
